1. Agreement to Terms

By accessing or using Campaign Arks ("Service"), you agree to be bound by these Terms & Conditions. If you disagree with any part of these terms, you may not access the Service.

2. Service Description

Campaign Arks is an AI-powered workspace designed to help tabletop role-playing game (TTRPG) game masters prepare for sessions. The Service provides tools for creating, organizing, and managing campaign content, with optional AI assistance for content generation and organization.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account
• Be at least 13 years of age to create an account

4. Merchant of Record & Payment Relationship

Campaign Arks has appointed Lemon Squeezy (Lemon Squeezy Limited) as the exclusive seller and Merchant of Record for all subscription transactions. This creates two separate legal relationships:

4.1 Your Relationship with Lemon Squeezy (Payment)

• Lemon Squeezy is the Seller: Your purchase contract for the subscription is with Lemon Squeezy, not Campaign Arks
• Payment Processing: Lemon Squeezy handles all payment processing, billing, invoicing, and payment-related customer support
• Taxes: Lemon Squeezy is responsible for calculating, collecting, and remitting all applicable Sales Taxes (GST/HST in Canada, VAT in Europe, Sales Tax in the US, etc.)
• Refunds: Lemon Squeezy processes all refunds in accordance with the Refund Policy
• Payment Terms: Your payment relationship with Lemon Squeezy is governed by Lemon Squeezy's Terms of Service (available at lemonsqueezy.com/terms)

4.2 Your Relationship with Campaign Arks (Service)

• Campaign Arks Provides the Service: Your right to access and use the Campaign Arks platform is governed by these Terms & Conditions
• Service Support: Campaign Arks provides technical support, feature access, and AI-powered functionality
• Content & Data: Campaign Arks manages your campaign content, user data, and service delivery

4.3 Subscription Details

• Subscription Plans: Subscriptions are available on a monthly or annual basis
• Automatic Renewal: Subscriptions renew automatically unless cancelled. You may cancel at any time through your Campaign Arks account settings or by contacting Lemon Squeezy before the next billing date. Lemon Squeezy will automatically bill you at the start of each billing cycle
• Pricing & Currency: Prices are displayed in multiple currencies for your convenience. Lemon Squeezy processes payments in the currency shown at checkout. All prices include applicable taxes as calculated by Lemon Squeezy
• Price Changes: We may modify subscription pricing with 30 days' advance notice to existing subscribers
• Cancellation: Cancellation takes effect at the end of your current billing period, and you will retain access to premium features until that date

4.4 Payment Disputes

Any disputes regarding charges, billing errors, payment processing, or refunds must be directed to Lemon Squeezy as the Merchant of Record. Disputes regarding Service functionality, access, or features should be directed to Campaign Arks at support@campaignarks.com.

5. User Content & Ownership

You retain all ownership rights to the campaigns, notes, and other content you create using the Service ("User Content"). By using the Service, you grant Campaign Arks:

• A limited license to store, process, and display your User Content solely for the purpose of providing the Service
• Permission to use anonymized, aggregated data derived from User Content to improve the Service (see our Privacy Policy)

We will never sell your User Content or use your specific campaign details for any purpose other than providing the Service to you. Your specific campaign content and AI prompts are not used to train public AI models.

6. AI-Generated Content Disclaimers

Campaign Arks uses artificial intelligence to generate content suggestions and assist with campaign preparation. Important disclaimers:

• Accuracy: AI-generated content may contain errors, inconsistencies, or inaccuracies. You are responsible for reviewing and verifying all AI-generated content before use
• Appropriateness: While we implement safeguards, AI may occasionally generate unexpected content. You are responsible for reviewing content before using it in your games
• No Guarantees: We do not guarantee the quality, creativity, or suitability of AI-generated content for your specific needs
• Availability: AI features depend on third-party AI services. We are not liable if AI features are temporarily unavailable due to circumstances beyond our control
• Intellectual Property Compliance: You are responsible for ensuring that AI-generated outputs comply with applicable intellectual property and content laws before public use or distribution
• Your Responsibility: You are solely responsible for any AI-generated content you choose to use in your campaigns or share with others

7. Data Usage & Privacy

We collect and use data as described in our Privacy Policy. By using the Service, you consent to our collection and use of anonymized, aggregated usage patterns to improve Service features. Your specific campaign content is not used to train public AI models. Note that payment data is collected and managed exclusively by Lemon Squeezy - Campaign Arks does not collect, process, or store any payment card information.

8. Prohibited Uses

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe upon the intellectual property rights of others
• Upload, post, or transmit harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated tools to access the Service without permission
• Resell or redistribute the Service without authorization
• Generate content that violates third-party terms of service or content policies
• Violate Lemon Squeezy's Terms of Service (available at lemonsqueezy.com/terms)

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Campaign Arks and are protected by international copyright, trademark, and other intellectual property laws.

You acknowledge that tabletop role-playing games, including but not limited to Dungeons & Dragons, Pathfinder, and others, are the property of their respective owners. Campaign Arks is not affiliated with or endorsed by any tabletop RPG publishers. You are responsible for ensuring your use of third-party intellectual property complies with applicable licenses and terms.

10. Service Availability

We strive to provide reliable Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or inconvenience caused by Service downtime.

11. Limitation of Liability

To the maximum extent permitted by law:

• Campaign Arks and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for Service-related issues shall not exceed the amount you paid for the Service in the 12 months preceding the claim
• We provide the Service "as is" without warranties of any kind, express or implied
• We are not responsible for any damages arising from AI-generated content, data loss, or service interruptions
• Payment-related liability is governed by Lemon Squeezy's terms as Merchant of Record

Nothing in these Terms limits your rights under applicable consumer protection legislation.

Some jurisdictions do not allow certain liability limitations, so these limitations may not apply to you.

12. Account Termination

We reserve the right to suspend or terminate your Service access at our discretion if:

• You violate these Terms & Conditions
• You engage in fraudulent or illegal activities
• Your account has been inactive for an extended period
• We cease providing the Service

Upon termination, you may request a copy of your User Content within 30 days. After this period, we may delete your data in accordance with our data retention policies. Note that subscription cancellation and refunds are handled by Lemon Squeezy in accordance with the Refund Policy.

13. Electronic Communications & Notices

You consent to receive communications from Campaign Arks electronically, including via email or through the Service. Electronic communications from Campaign Arks constitute legal notice for all purposes under applicable law, including but not limited to the Electronic Commerce Act, 2000 (Ontario).

14. Changes to Terms

We may modify these Terms & Conditions at any time. We will notify users of material changes via email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified terms. If you do not agree to the changes, you must discontinue using the Service and may cancel your subscription through Lemon Squeezy.

15. Dispute Resolution & Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Province of Ontario, Canada, to the exclusion of any other jurisdiction, without regard to its conflict of law provisions.

Important Note on Jurisdiction:

• Service Disputes: Disputes arising from these Terms & Conditions or your use of the Campaign Arks service shall be resolved in the courts of Ontario, Canada
• Payment Disputes: Disputes regarding payments, billing, refunds, or other payment-related matters are governed by Lemon Squeezy's terms and are subject to the jurisdiction specified in Lemon Squeezy's Terms of Service

Note: Nothing in this clause affects your mandatory consumer rights under applicable law in your jurisdiction of residence.

16. User Representations & Indemnification

You represent and warrant that:

• You have the legal capacity to enter into these Terms & Conditions
• All information you provide is accurate and complete
• Your User Content does not infringe any third-party intellectual property rights
• Your User Content does not contain illegal, harmful, or defamatory material
• You will comply with all applicable laws in your use of the Service

You agree to indemnify, defend, and hold harmless Campaign Arks, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your violation of these Terms & Conditions
• Your User Content or use of the Service
• Your infringement of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations

17. Severability

If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms.

18. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Campaign Arks regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral. Note that your payment relationship with Lemon Squeezy is governed separately by Lemon Squeezy's Terms of Service.

19. Waiver

No waiver by Campaign Arks of any term or condition set forth in these Terms & Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Campaign Arks to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Assignment

You may not assign, transfer, or delegate these Terms & Conditions or your rights and obligations hereunder without our prior written consent. We may assign, transfer, or delegate these Terms and our rights and obligations without restriction, including to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets. Any attempted assignment by you in violation of this section shall be null and void.

21. Force Majeure

Campaign Arks shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
